Client Representation of Lawfully Operating Business as Condition for Payroll Processing Eligibility Requirement
Express Data Systems, Inc (the “Company”) will only provide services to clients who operate businesses that are legal in their operating jurisdiction. It is the client’s sole responsibility to ensure its business is conducted in strict compliance with all applicable laws and regulations. As such, client hereby represents and warrants that client operates in a jurisdiction where the business conducted by the client is not illegal or in violation of local regulations. If, at any time during the course of client’s business relationship with the Company, the foregoing representation and warranty ceases to be true, client has an immediate obligation to notify the Company. The Company reserves the right to request documentation or proof of compliance with local laws and to verify the legal status of a client's business and may decline services if the client does not meet this eligibility requirement. Please note that the Company’s agreement to provide services to a client does not constitute legal advice or a conclusion by the Company that client’s business is legally operated. Clients should seek guidance from a qualified legal professional to ensure full compliance with all applicable laws. Eligibility may be subject to change as the legal landscape evolves and we encourage clients to stay informed about the laws in their jurisdiction. Client shall indemnify the Company, and hold it harmless, from and against any and all claims, liabilities, damages, losses, costs, and expenses incurred by the Company arising from any claim or proceeding made or brought against the Company based on an allegation that client’s business is unlawful or operated unlawfully in any way, and shall defend each claim at client’s expense, with a counsel of the Company’s choice; provided, that the Company shall notify client promptly of any such claim. Client shall not enter into any settlement or compromise of any such claim without the Company’s prior written consent.

Information We Collect
When you open an account with Express Data Systems, Inc., (“EDS”), you are required to provide personal and contact information for your Company and Employees. This information is used to manage your account and deliver our services.

The information we collect is compliant with U.S. regulatory guidelines and includes, but is not limited to your name, physical address, telephone number, Identification number and, employment and financial information. Additionally, we may record and retain your communications with us for quality control purposes as well as for assistance in resolving misunderstandings.

Supplementation of Information
From time to time, it is necessary to supply the information we receive to third-party sources. For example, to verify a customer's identity, we may use personal identification to request a screening report from an outside firm so that we may access additional data on an individual. Before using personal information for this purpose, the third party must agree that it will not share or sell the information we provide to other third parties.

Correction/Updating Personal Information

Sharing
We do not sell customer (current or former) information to third-parties. Any information shared by us is done so to fulfill our legal and regulatory requirements or to provide you with the products and services you have requested.
